By accessing and using XyloDocs, including our document management platform and SMS communication services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, do not use our services.

By accessing and using XyloDocs, including our document management platform and SMS communication services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, do not use our services.

2. Use License and Account Requirements

XyloDocs grants you a limited, non-exclusive, non-transferable license to access and use our platform for business purposes in accordance with these Terms. You must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Be authorized to bind your business to these Terms
  • Comply with all applicable laws, including TCPA, CAN-SPAM, and GDPR

3. User Accounts and Responsibilities

You are responsible for:

  • Safeguarding your password and all activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring all content you upload complies with applicable laws
  • Obtaining proper consent before uploading client data or sending communications
  • Maintaining accurate business information for TCR registration

4. SMS Terms and Conditions

4.1 SMS Service Description

XyloDocs provides SMS messaging services to enable communication between you and your clients. By using our SMS features, you agree to the following terms:

4.2 Consent to Receive Text Messages

Express Written Consent Required: You may only send SMS messages to recipients who have provided express written consent to receive text messages from your business. Consent must be:

  • Clear and conspicuous
  • Obtained before sending the first message
  • Documented and stored for compliance purposes
  • Specific to SMS communications (not bundled with other consents)

4.3 Message Frequency and Content

Message frequency varies based on your usage and campaign settings. Messages may include:

  • Appointment reminders and notifications
  • Document upload requests and confirmations
  • Status updates and case information
  • Marketing messages (only with separate consent)
  • Customer service and support communications

4.4 Message and Data Rates

Message and data rates may apply. Standard carrier rates for text messages and data usage apply. XyloDocs is not responsible for charges from your mobile carrier. Please check with your carrier for pricing details.

4.5 Opt-In Procedures

Recipients can opt in to receive messages by:

  • Completing a web form with a clear SMS consent checkbox
  • Texting a keyword (e.g., "START" or "JOIN") to your designated phone number
  • Providing verbal consent with documentation
  • Signing a written agreement that includes SMS consent language

Important: Consent to receive text messages is not a condition of purchase or use of XyloDocs services. You may use our platform without providing SMS consent.

4.6 Opt-Out Procedures

Recipients can opt out of receiving messages at any time by:

  • Texting STOP keywords: Reply with STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any message (automated opt-out confirmation will be sent)
  • Updating preferences in their client portal
  • Contacting your business directly
  • Emailing support@xylodocs.com

After opting out, recipients will receive one final confirmation message. No further messages will be sent unless they explicitly opt in again. All opt-out requests are processed immediately and honored across all messaging campaigns.

4.7 HELP Keyword

Recipients can text "HELP" to receive customer support information. The automated HELP response includes:

  • Brief service description and message frequency
  • Opt-out instructions (text STOP to unsubscribe)

4.8 TCR and A2P 10DLC Compliance

The Campaign Registry (TCR) Registration: XyloDocs is registered with TCR for A2P 10DLC messaging compliance. By using our SMS services, you authorize us to:

  • Register your business brand with TCR using your EIN/Tax ID and legal business information
  • Submit SMS campaigns to TCR for verification and approval
  • Share your business information with mobile carriers for compliance and fraud prevention
  • Pay TCR registration and campaign fees on your behalf (fees: $4 brand registration + $15 per campaign setup + $0.75-$10/month per campaign)

Brand Verification: You agree to provide accurate business information for TCR registration, including:

  • Legal business name (matching tax records)
  • Employer Identification Number (EIN) or Tax ID
  • Business address and contact information
  • Business website or social media presence
  • Industry/vertical classification

4.9 TCPA Compliance

You agree to comply with the Telephone Consumer Protection Act (TCPA) and related regulations, including:

  • Obtaining express written consent before sending marketing messages
  • Maintaining do-not-contact lists and honoring opt-out requests immediately
  • Not using auto-dialers without proper consent
  • Including clear identification of your business in all messages
  • Providing easy opt-out mechanisms in every message

4.10 Prohibited Content

You may not use our SMS services to send:

  • Spam, unsolicited messages, or messages to purchased lists
  • Fraudulent, deceptive, or misleading content
  • Illegal content or content promoting illegal activities
  • Malware, phishing links, or malicious content
  • Hate speech, harassment, or threats
  • Content related to cannabis, debt collection, or high-risk financial services (may have restrictions)

4.11 Message Delivery

While we strive for reliable delivery, XyloDocs does not guarantee message delivery. Factors affecting delivery include:

  • Carrier filtering and blocking
  • Recipient phone status (powered off, out of coverage, invalid number)
  • Network congestion
  • Spam filters and content restrictions

4.12 Supported Carriers

Our SMS services support major US carriers including AT&T, T-Mobile, Verizon, Sprint, and others. International messaging may have different terms and rates.

5. Service Availability and Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to our services. Scheduled maintenance will be announced in advance when possible. We are not liable for service interruptions caused by factors beyond our control.

6. Data Security and Privacy

We implement bank-grade security measures (AES-256 encryption, systems designed in alignment with SOC 2 Type II Aligned and IRS Publication 1075 standards) to protect your data. Please review our Privacy Policy for details on how we collect, use, and protect your information.

7. Payment Terms

Subscription fees combine Master Agent seats (each includes a monthly usage quota: $79/agent/month equivalent when prepaid annually at $948/agent/year, or $99/agent/month when billed monthly on an annual commitment) plus Additional Agent seats at $29/agent/month for full platform access without additional included usage (shared account pool). Additional clients beyond 200 per Master Agent are billed at $0.50/client/month. Power Pack add-ons are one-time purchases applied to the current billing cycle and shared across all agents. Proration may apply when seats change mid-cycle. TCR registration fees ($4 one-time brand fee + $15 per campaign) and monthly campaign fees ($0.75-$10/month) will be billed to your account.

8. Intellectual Property

XyloDocs and its content are protected by copyright, trademark, and other intellectual property laws. You retain ownership of documents and data you upload. We retain ownership of our platform, software, and branding.

9. Termination

Either party may terminate this agreement:

  • You: Cancel your subscription at any time through your account settings
  • We: May suspend or terminate accounts for violations of these Terms, illegal activity, non-payment, or abuse of services
  • Data Export: Upon termination, you will have 30 days to export your data before it is permanently deleted

10. Indemnification

You agree to indemnify and hold XyloDocs harmless from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your violation of TCPA, GDPR, or other applicable laws
  • Unauthorized use of our SMS services or failure to obtain proper consent
  • Content you upload or messages you send through our platform

11. Limitation of Liability

To the fullest extent permitted by law, XyloDocs shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from SMS delivery failures or carrier filtering
  • TCPA violations arising from your failure to obtain proper consent
  • Our total liability is limited to the amount you paid in the 12 months preceding the claim

12. Dispute Resolution

Any disputes arising from these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive the right to participate in class action lawsuits.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use of our services after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
